These terms and conditions ("Agreement") apply to your purchase of products and/or services sold in the United States by Syritex™. If you purchase by phone or online from buysyritex.com, you accept the terms and conditions of this Agreement. This Agreement shall apply unless (i) you have a separate purchase agreement with Syritex™; or (ii) other Syritex™ terms and conditions apply to the transaction. The terms "you", "your" and "yours" refer to the customer purchasing products and/or services from Syritex. The terms "we", "us" and "our" refer to Syritex™. |

Risk of loss:

All items purchased from Syritex are made pursuant to a shipment contract. This means that the risk of loss (if you select a carrier) and title for such items pass to you upon our delivery to the carrier. If Syritex selects the carrier the risk of loss is Syritex's responsibility. You must notify Syritex of the defective product within a week of delivery. After a week the Limited Warranty Policy shall apply.

Despite our efforts to ensure that the information on our website is accurate, complete and current, there may be instances when information about a Product contains inaccurate or incomplete data, including data about the Product's price or availability. We make no warranty or guarantee that the information on our website is error-free, complete, or current. We reserve the right to correct errors and/or update the content on our website at any time without notice. We also reserve the right to refuse or cancel any order containing any error or inaccuracy, including after the order has been submitted, whether or not the order has been confirmed and your credit card charged. If your order is canceled after your payment has been processed, we will issue a full refund to the original pay type. |

Return Policy: |

Please review our Return Policy Notice which is also part of this Agreement and you agree to those terms. Products with removed or altered serial numbers cannot be returned. At Syritex discretion, credit for partial returns may be less than invoice or individual component due to bundled or promotional pricing.

Warranty:
|
|
Please review the AraLogix® CD/DVD Servers Limited Warranty and our Limited Warranty Notice, which are also part of this Agreement. Tampering with the products serial numbers voids the warranty. Syritex is not obligated to honor any warranty or provide service until Syritex receives payment in full.

Payment Terms: |

Terms of payments are at Syritex's sole discretion, and unless otherwise agreed by Syritex, payment must be received by Syritex prior to Syritex's acceptance of an order. The payment for the products and services will be made by credit card, wire transfer, or some other prearranged payment method unless credit terms have been agreed to by Syritex. Your order is subject to cancellation by Syritex, in Syritex's sole discretion. Syritex may request cancellation of third party software licenses, services, maintenance or support if Syritex does not receive payment. Invoices are due and payable on the due date indicated on the invoice. Syritex may invoice parts of an order separately.

Orders and Quotes:

Syritex is not responsible for pricing, typographical, or other errors in any offer by Syritex and reserves the right to cancel any orders resulting from such errors.

Shipping:
|
|
Shipping and handling charges are additional unless otherwise indicated at the time of sale. Shipping dates are estimates only.
|
|
Third Party Products and Services:
|
|
If you purchase third party branded products, services, maintenance, or support, additional third party terms and conditions may apply.

Syritex Services:
|
|
Syritex services offerings are provided to you pursuant to a Master Service Agreement "MSA".
|
|
Software:
|
|
All software is provided subject to a license agreement and you agree that you will be bound by such license agreement in addition to these terms. Title to the software remains with the applicable licensor(s).

|
Damages:
|
|
In no event shall Syritex, Inc., or its officers, directors, employees, representatives or agents be liable for special, incidental, consequential, punitive, indirect, or other special damages, including but not limited to, loss of data, use, or profits, however caused, whether for breach of contract, negligence, or otherwise, and whether or not we have been advised of the possibility of any such damages.

Export and Resale:

|
You agree and represent that you are buying only for your internal use, and not for resale or export. You agree to comply with all applicable laws and regulations of all the states of the United States. Purchases for resale or export are governed by other Syritex terms and conditions. The export of any product or software purchased from Syritex, must be made in accordance with all relevant laws of the United States including but not limited to the United States Export Administration Regulations.

Governing Law, Resolution of Disputes and Binding Arbitration:

|
By purchasing from Syritex, you agree that the laws of the state of New York, without regard to principles of conflict of laws, will govern this Agreement and any dispute, claim and controversy that might arise between you and Syritex. You agree that if any part of these terms is found to be unenforceable, the remainder of these terms will remain in full force and effect. You agree that a finally binding arbitration by the American Arbitration Association (AAA) must resolve exclusively any claim or dispute you may have against Syritex, its officers, agents, principals, successors, assigns and affiliates. You further agree that neither you nor Syritex shall be entitled to join or consolidate claims by or againts other customers. You acknowledge that you are giving up your rights to litigate claims in a court or before a jury or to participate in a class action or representative action with respect to such claim. Other rights that you would have if you went to court, such as access to discovery, may also be unavailable or may be limited in arbitration.

We may amend this Terms and Conditions of Sale at any time by posting the amended terms on the Site. Except as stated elsewhere, all amended terms shall automatically be effective immediately after they are initially posted on the Site.
